HES and Heysta proceed takeover

Europees Massagoed Overslag (EMO) BV has finalised an investment programme for the replacement of an essential part of its conveyor belt system.

EMO of Rotterdam might become a wholly owned subsidiary of HES Beheer.

EMO of Rotterdam may become a wholly owned subsidiary of HES Beheer, after it was revealed that Sea-Invest and ThyssenKrupp Veerhaven are willing to sell their joint stake of 43% in the Maasvlakte-based 37 Mtpa ore and coal stevedore. HES Beheer already holds 57% of EMO shares and has lodged its plans with the Dutch monopolies and merger authority ACM.

Hestya Energy has obtained regulatory clearance from the European Commission in connection with its recommended public cash offer for HES Beheer.

The parties have jointly announced that Heysta Energy has completed due diligence in respect of HES Beheer and its affiliates.

HES Beheer and Hestya Energy BV have agreed to conclude the public offer by Hestya for all shares of the leading Dutch bulk stevedoring group.
